Purchasing Agreement This Purchasing Agreement (“Agreement”) governs all purchases made from The Piano Shell Company, LLC (“Company,” “we,” “us,” or “our”). By placing an order, you (“Customer”) acknowledge and agree to the following terms. 1. Scope of Agreement This Agreement applies to all purchases from The Piano Shell Company, including but not limited to piano shells, accessories, add-ons, and any custom work. 2. Payment and Cancellations Payment in Full: All orders must be paid in full at the time of purchase. We do not accept deposits or partial payments. Cancellations: Orders may be canceled only if custom work has not yet begun. Custom Work Commencement: Custom work is considered “begun” once physical work has started on your item. If materials have been purchased but work has not started, we may accept cancellations; any unrecoverable costs (e.g., supplier restocking fees, non-refundable shipping) will be deducted from any refund. Transaction Fees: Any transaction or processing fees charged at purchase (e.g., credit card or payment processor fees) are non-refundable in all cases, including cancellations. 3. Returns & Refunds All returns, refunds, and damage claims are governed by the Company’s Return and Damage Policy, which is incorporated into this Agreement by reference. By purchasing, you agree to be bound by that policy. 4. Changes & Additional Work (“Change Orders”) Requests After Purchase: Any additional or revised work requested by the Customer after an order is placed—including design changes, finish changes, hardware/add-on additions, dimensional modifications, or new customizations—constitutes a Change Order. Written Confirmation: Change Orders must be confirmed in writing (email is sufficient). Payment Requirement: All Change Orders must be paid in full before any additional work begins. The Company will not proceed with additional or revised work until payment is received. Pricing: Change Orders may increase the total price of the project. We will provide a written quote for approval before proceeding. Timeline Impact: Change Orders may extend or reset estimated timelines. Any prior completion or delivery dates are void once a Change Order is requested. New dates are estimates only and subject to adjustment. Customer Delays: Delays in providing approvals, specifications, or payments for Change Orders will pause work and may further extend timelines; the Company is not liable for resulting delays or costs. 5. Piano Pickup & Preparation Pickup Mileage Costs: If the Company travels to pick up a piano for preparation and the Customer later cancels the order, the mileage cost from our shop to the pickup location and back is non-refundable. This mileage cost will be calculated using the IRS standard mileage rate for business travel in effect at the time of travel. Custom Piano Acquisition: If the Company acquires a piano specifically for the Customer’s order (a “custom pickup”), and that piano cannot reasonably be resold, the Customer is not eligible for a refund for any associated costs. This includes but is not limited to: Mileage costs (calculated at the IRS rate), and The purchase cost of the piano itself. No Recovery of Lost Funds: In the event of cancellation of a custom pickup order, the Customer assumes responsibility for any lost funds related to the piano’s acquisition and preparation. 6. Warranty & Liability Limited Warranty: We warrant our products against defects in workmanship or materials caused by us. This warranty does not cover damage caused by misuse, neglect, accidents, improper installation, or modifications by the Customer. No Consequential Liability: The Company is not liable for indirect, incidental, special, or consequential damages (including lost gigs, studio time, or other economic losses), and is not responsible for delays resulting from production realities or Change Orders. Timeline estimates are not guarantees. 7. Governing Law & Dispute Resolution This Agreement is governed by the laws of the State of Tennessee. Any disputes shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee. In any legal action arising under this Agreement, the prevailing party shall be entitled to recover reasonable attorney’s fees and costs. 8. Amendments We reserve the right to update or amend this Agreement at any time. The version in effect on the date of your purchase applies to that transaction. 9. Acknowledgment By completing a purchase, you acknowledge that you have read, understood, and agreed to be bound by this Purchasing Agreement.
